These Terms and Conditions (“Terms”) constitute a legally binding agreement between Inspay Digital Private Limited, a company incorporated under the Companies Act, 2013 and having its registered office in India (“Inspay”, “Company”, “we”, “us”, or “our”), and any individual or entity accessing or using the website https://www.inspay.in, its mobile platforms, application programming interfaces (APIs), dashboards, software, or related services (collectively referred to as the “Platform” or “Services”).
By accessing, browsing, registering on, or using the Platform in any manner whatsoever, the user (“User”, “you”, or “your”) acknowledges that they have read, understood, and agreed to be bound by these Terms, along with the Privacy Policy and any other policies referenced herein. If you do not agree to these Terms, you must refrain from using the Platform immediately.
1. LEGAL FRAMEWORK AND REGULATORY COMPLIANCE
These Terms are framed in compliance with applicable Indian laws, including but not limited to the Information Technology Act, 2000, the rules framed thereunder, the Digital Personal Data Protection Act, 2023, and applicable guidelines, circulars, and directions issued by regulatory authorities such as the Reserve Bank of India (RBI) and National Payments Corporation of India (NPCI), wherever relevant.
Inspay operates strictly within the legal framework governing digital platforms, intermediaries, and technology-enabled financial service providers in India.
2. NATURE AND SCOPE OF SERVICES
Inspay is engaged in the business of providing fintech infrastructure solutions, including but not limited to APIs for identity verification (KYC/KYB), bank account validation, BBPS (Bharat Connect) utility payments, and PAN processing applications (as an authorized PSA) for B2B, B2C, and B2B2C use cases.
Inspay acts solely as a technology infrastructure and service provider. The Company does not operate as a bank, non-banking financial company (NBFC), prepaid payment instrument (PPI) issuer, or payment system operator. All financial transactions are processed through authorized banking partners and gateways.
3. ELIGIBILITY TO USE THE PLATFORM
Use of the Platform is strictly limited to individuals who are at least eighteen (18) years of age and who are legally capable of entering into a binding contract under Indian law. If the User is accessing the Platform on behalf of a company, partnership, or other legal entity, the User represents and warrants that they are duly authorized to bind such entity to these Terms.
Inspay reserves the right to deny access to the Platform if it determines, at its sole discretion, that a User is ineligible or non-compliant with regulatory requirements.
4. USER REGISTRATION AND ACCOUNT RESPONSIBILITY
Certain Services require the User to register an account, undergo KYC verification, and provide accurate personal or business information. The User agrees to provide true, current, and complete information and to update such information as necessary.
The User is solely responsible for maintaining the confidentiality of login credentials, API keys, and for all activities carried out through their account. Inspay shall not be liable for any loss or damage arising from unauthorized access resulting from User negligence, credential sharing, or security compromise on the User’s end.
Inspay reserves the right to suspend, restrict, or terminate any account if it reasonably believes that the account is being misused, compromised, or operated in violation of these Terms or applicable law.
5. PAYMENTS AND TRANSACTION PROCESSING
All payments and settlements made on or through the Platform are processed using RBI-authorized and PCI-DSS compliant payment gateways and banking partners. Inspay does not collect, store, process, or retain any sensitive payment information such as debit card numbers, credit card numbers, CVV, PINs, net banking credentials, or UPI authentication details.
Transaction success is subject to authorization by the respective bank, biller, or nodal agency. Inspay shall not be held responsible for transaction failures, delays, reversals, or errors caused by banks, NPCI, technical issues, or force majeure events.
6. API AND ENTERPRISE SERVICES
Access to Inspay APIs and enterprise-level infrastructure is governed by separate commercial, technical, and contractual arrangements. Users are strictly prohibited from reverse engineering, scraping, unauthorized access, or generating artificial volume (spamming) beyond agreed limits.
Inspay reserves the right to suspend, throttle, or revoke API access without prior notice in case of security threats, misuse, breach of agreement, or regulatory concerns.
7. USER CONDUCT AND OBLIGATIONS
The User agrees not to use the Platform for any unlawful, fraudulent, abusive, or prohibited activity, including money laundering or financing illegal operations. The User shall not upload, transmit, or distribute any content or code that is malicious, harmful, or infringing upon the rights of others.
Any attempt to compromise platform security, data integrity, or service availability shall result in immediate suspension and potential legal action.
8. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights relating to the Platform, including software, source code, APIs, designs, trademarks, logos, content, and proprietary systems, are owned by or licensed to Inspay.
No rights are granted to the User except the limited right to access and use the Platform in accordance with these Terms. Unauthorized copying, reproduction, modification, or distribution is strictly prohibited.
9. DATA PROTECTION AND PRIVACY
Inspay collects and processes personal and business data in accordance with its Privacy Policy, which forms an integral part of these Terms. By using the Platform, the User consents to such processing in compliance with applicable data protection laws.
Inspay implements reasonable security practices and procedures to protect User data but does not guarantee absolute security against advanced cyber threats.
10. SUSPENSION AND TERMINATION
Inspay may, at its sole discretion, suspend or terminate access to the Platform with or without notice if the User violates these Terms, applicable law, or poses a security, fraud, or compliance risk.
Termination shall not affect any accrued rights or obligations, including pending settlement obligations or indemnity clauses.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Inspay shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Platform, APIs, or Services.
Inspay’s total liability, if any, shall not exceed the amount paid by the User to Inspay as service fees for the specific transaction giving rise to the claim.
12. INDEMNIFICATION
The User agrees to indemnify, defend, and hold harmless Inspay, its directors, officers, employees, and affiliates from any claims, losses, damages, liabilities, penalties, or expenses arising from the User’s breach of these Terms, misuse of the Platform, or violation of any law or regulation.
13. FORCE MAJEURE
Inspay shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, banking node failures, cyber incidents, system outages, or network disruptions.
14. AMENDMENTS TO TERMS
Inspay reserves the right to modify or update these Terms at any time. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
15. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of India. Courts having competent jurisdiction in India shall have exclusive jurisdiction over any disputes.
